At today\u2019s Kudan Inc. Board of Directors\u2019 Meeting, a resolution was passed stipulating that Kudan Inc. (hereafter \u201cKudan\u201d) is to make an initial purchase of shares of Artisense Corporation (headquarters in California, USA; CEO Andrej Kulikov; henceforth in this document as \u201cArtisense\u201d), a holding company of the Artisense Group, to be followed in several stages by the purchase of the remaining shares of the company so that Artisense will be acquired as a subsidiary of Kudan. (This acquisition will be referred to henceforth in this document as \u201cthe Purchase.\u201d)<\/p>\n

It was also decided at the same Board of Directors\u2019 Meeting that a stock issuance registration would be filed on today\u2019s date for new Common Shares of Kudan to be issued to the shareholders of Artisense in the future as a third-party allocation, as partial payment for the Purchase. (This stock issuance will be referred to henceforth in this document as the \u201cthe Stock Issuance.\u201d)<\/p>\n
